TERMS OF SERVICE — UNITED STATES
Terms and conditions governing the subscription and use of IA Market Master in the United States, incorporating FTC negative option disclosures, ROSCA compliance, recurring billing transparency, and commercial SaaS provisions.
1.Acceptance of Terms
By accessing or using IA Market Master ("IAMM"), registering an account, starting a 7-day evaluation trial, or subscribing to the PRO Plan, you ("Customer," "User," or "You") agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the platform.
2.Eligibility and Authority to Act for a Business
IAMM is a business-to-business marketing automation platform. The individual signing up represents and warrants that they are at least 18 years of age and possess full legal authority to bind the corporate or commercial entity on whose behalf the account is created.
3.Description of the IA Market Master Service
IA Market Master provides software-as-a-service (SaaS) marketing workflow orchestration, combining generative artificial intelligence, Brand Brain persistent context, cross-channel campaign generation, and social network distribution.
The platform supports scheduled customer campaigns, with approval according to the authorized preference, and the 3x/Day Marketing Autopilot. Immediate customer publishing is not available.
4.AI-Assisted Features and Limitations
IAMM utilizes advanced probabilistic artificial intelligence models to assist with strategic suggestions, copywriting, hooks, and campaign scripts. Outputs are generated computationally and do not constitute legal, financial, medical, or professional marketing advice.
5.Customer Responsibility for Prompts, Information, and Approvals
You maintain exclusive responsibility for all guidelines, prompts, branding assets, URLs, and claims entered into your Brand Brain.
You are solely responsible for ensuring that all published content complies with applicable commercial advertising laws (including Federal Trade Commission (FTC) disclosure guidelines for endorsements and testimonials) and industry-specific regulations.
6.Social-Network Connections and Third-Party Platform Rules
Publishing features depend on connecting accounts to the IAMM-supported channels: Instagram, Facebook, Threads, LinkedIn, Pinterest, Bluesky, Tumblr, Google Business, Telegram, and Discord.
You represent that you have full administrative rights over each connected social handle and agree to comply strictly with the terms and developer policies of each respective platform.
7.Authorized Automation Only
IAMM utilizes supported, legitimate platform APIs and authorized automated workflows. Any form of unauthorized scraping, reverse engineering, brute force, private message spamming, or abuse is strictly prohibited and subject to immediate account termination.
8.Scheduled Campaigns vs Autopilot 3x/Day
Customer campaigns are created upon request and must have a future local date and time. The Customer may choose whether the scheduled campaign requires individual approval before dispatch; immediate customer publishing is not available.
In Autopilot 3x/Day, once explicitly authorized by Customer prerequisites, IAMM autonomously generates and publishes up to three campaigns daily inside the 07:00–09:00, 11:00–13:00 and 15:00–17:00 customer-local windows to designated connected channels without per-post manual review.
9.Customer Content and Media Ownership
You retain full and exclusive ownership of all pre-existing trademarks, logos, copy, images, videos, and brand assets uploaded to or connected with IAMM. IAMM claims no ownership over your proprietary content.
10.Limited License Granted to IAMM to Provide the Service
You grant IAMM a worldwide, non-exclusive, royalty-free, limited license to access, store, process, reformat, and transmit your content solely to the extent necessary to deliver the marketing automation services to your account.
11.No Sale or Reuse of Customer Media for Other Customers
IAMM will NEVER sell, license, lease, or share your proprietary media, photographs, or creative assets for use in campaigns of any other client or third party. Customer multi-tenant isolation is strictly enforced.
12.Customer Responsibility for Rights and Licenses to Uploaded Media
You represent and warrant that you hold all necessary licenses, releases, and intellectual property rights for all media connected or uploaded to IAMM, and that using such media does not infringe upon the intellectual property or privacy rights of any third party.
13.Account Security, Credentials, and OAuth Tokens
You are responsible for safeguarding your login credentials and connected OAuth access tokens. You agree to notify IAMM immediately upon discovering any unauthorized access to your account.
14.Prohibited and Abusive Use
You agree not to use IAMM to: (a) distribute unlawful, defamatory, harassing, or deceptive content; (b) violate third-party intellectual property or publicity rights; (c) attempt unauthorized access to platform infrastructure or other tenants; or (d) generate malicious code or spam.
15.IAMM Intellectual Property
All software, system architecture, user interfaces, branding, documentation, algorithms, and orchestration logic comprising IA Market Master remain the sole and exclusive property of the service provider.
16.AI Outputs — No Guarantee of Uniqueness, Accuracy, or Performance
Because AI models generate outputs statistically based on broad training corpora, generated copy or suggestions may not be unique across different systems or users. IAMM provides AI-generated content on an "as-is" basis with no warranty of copyrightability or originality.
17.No Promise of Followers, Sales, Ranking, Reach, Revenue, or Leads
IAMM is a software productivity and distribution tool. IAMM DOES NOT guarantee, promise, or warrant any specific number of social followers, likes, engagement metrics, search rankings, leads, sales conversions, or revenue.
Market success is dependent upon the commercial viability of your offering, market conditions, and numerous factors beyond our control.
18.Subscription Fees and Plans
Pricing for the United States is US$ 34.90 per month on the monthly plan, or US$ 349.00 per year on the annual plan (billed upfront as a single charge).
19.Monthly and Annual Billing Cycles
Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the billing interval selected during checkout, using the payment method on file.
20.7-Day Evaluation Trial with Required Credit Card
Eligible new accounts may access a 7-day evaluation trial of the service. A valid credit card is required at trial initiation to authenticate identity and prevent platform abuse.
You will not be charged the subscription fee during the 7-day trial period.
21.Trial Auto-Conversion and First Charge Mechanics
DISCLOSURE OF AUTOMATIC ENROLLMENT / NEGATIVE OPTION:
Unless you cancel your subscription before the end of the 7-day evaluation trial (prior to the exact expiration time indicated on your account dashboard), your trial will automatically convert into a paid PRO subscription.
At the conclusion of the trial, your credit card will be automatically charged $34.90 (US$ 34.90, plus applicable sales taxes) for the first monthly cycle, or US$ 349.00 ($349.00, plus applicable taxes) if you selected the annual plan.
22.Cancellation Before Trial Ends
You may cancel your subscription at any time during the 7-day trial period with zero penalty and zero recurring charges. Cancellation can be completed immediately online with a single click in your Account / Subscription settings.
23.Automatic Renewal Disclosures
Following initial conversion, your subscription will continue to renew automatically at the end of each billing cycle (monthly or annually) at the then-current subscription rate until you cancel, in compliance with state Automatic Renewal Laws (including California ARL) and FTC Negative Option requirements.
Automatic renewals do not restart the 7-day full-refund guarantee, which remains anchored to the first PRO subscription payment.
24.How Cancellation Works
You can cancel your subscription at any time by navigating to Account > Subscription in the web dashboard and selecting "Cancel Subscription." Upon cancellation, your account will remain active through the end of the current pre-paid billing cycle, and no further renewals will occur.
25.Refund Policy & 7-Day Money-Back Guarantee
7-DAY MONEY-BACK GUARANTEE: If you are charged following trial conversion and decide IAMM is not right for your business, you may request a 100% full refund within 7 (seven) days of your first paid charge.
IAMM's 7-day full-refund guarantee is counted from the first PRO subscription payment and does not restart on renewals, without limiting any mandatory consumer rights that may apply.
Beyond this initial 7-day window, subscriptions are non-refundable except where mandated by applicable state or federal law.
26.Applicable Taxes
Fees stated are exclusive of federal, state, or local sales and use taxes where applicable. Appropriate taxes will be calculated and added at checkout based on your billing address.
27.Failed Payments
If a recurring charge fails, we will attempt to re-bill the card on file and notify you. If payment cannot be processed after a reasonable grace period, access to PRO features and automated dispatch will be suspended.
28.Suspension and Termination
IAMM reserves the right to suspend or terminate accounts that violate these Terms, engage in prohibited conduct, or pose security risks to platform operations.
29.Relationship to Privacy Policy
Our processing of personal information and business contact data is governed by the IA Market Master United States Privacy Policy, incorporated herein by reference.
30.Information Security
We implement commercially reasonable administrative, technical, and physical safeguards to protect Customer content and access tokens against unauthorized disclosure.
31.Service Availability, Maintenance, and Third-Party Outages
While we strive for maximum uptime, IAMM is provided on an "as-is" and "as-available" basis. We are not liable for service interruptions caused by third-party cloud outages, telecommunications disruptions, or social platform API downtime.
32.Limitation of Liability Subject to Mandatory Law
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IAMM OR ITS OPERATORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR REPUTATION.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO IAMM DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
33.Indemnification
Customer agrees to defend, indemnify, and hold harmless IAMM, its affiliates, and contractors from and against any third-party claims, liabilities, damages, or costs arising out of Customer Content or Customer breach of these Terms.
34.Modifications to Terms and Material Change Notice
We may modify these Terms from time to time. If we make material changes, we will provide at least thirty (30) days advance notice via email or within the application before the changes become effective.
35.Customer Support and Inquiries
If you have any questions or need assistance with billing, cancellation, or account management, please contact support at support@iamarketmaster.com or through the in-app Help center.
36.Governing Law and Dispute Resolution
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with applicable laws, without giving effect to conflicts of law principles.
Any legal action or proceeding arising out of or related to these Terms shall be instituted in a court of competent jurisdiction.
37.Preservation of Mandatory Consumer Rights
Nothing in these Terms is intended to limit or exclude any statutory consumer rights that cannot be waived under applicable state or federal consumer protection statutes.
